Substantive Consolidation, its Application, and the Authority

By Byron Moldo, Ervin Cohen & Jessup LLP

The administration of a receivership or bankruptcy case in the US may include one or more entities. While there may only be one company that is the subject of the case at the inception, a body of law has developed which permits courts, in appropriate circumstances, to include other entities in the case administration for the benefit of creditors. The balance of this article summarises the concept of substantive consolidation, its application, and the authority.

To Err is Human ... BUT ... Who is Responsible for Machine-Made Decisions?

By Ran Kamil, Soroker Agmon Nordman | IP & beyond

The second decade of the twentyfirst century will probably be marked by future historians as the dawn of the Artificial Intelligence (AI) era. While we are yet to be hunted by legions of killer robots guided by an AI resolved to correct God’s mistake of saving Noah from the flood, we no longer use machines just to substitute or enhance human physical labour, but also as a substitute for human discretion in the decision-making process.

Dock Sales: When Simple Sourcing is not so Simple

The sale of taxable property in the US is generally subject to sales tax at the location where the vendor delivers it to the buyer. This principle is not always as simple to apply as it might first appear.

SC&H Group Named Best Large Firm to Work for Nationally by Accounting Today

Accounting Today has named SC&H Group the “2018 Best Large Firm to Work For” in the country. SC&H Group, a nationally recognized management consulting, audit, and tax firm, topped the list and is featured in the publication’s November issue.

“This distinction validates our firm’s course, one we haven’t strayed from since its inception. The needs and growth of our people, our clients, and our community remain the top priority. Our employees put us on this list and it is one of the greatest honors the firm has earned,” said Ron Causey, SC&H Group’s CEO.

Firms from across the United States entered a survey process to determine Accounting Today’s “Best Firms to Work For.” The process evaluated a company’s workplace policies, practices, philosophy, systems and demographics, and anonymously surveyed employees to measure the employee experience.

SC&H Group is driven by two mottos: “Powerful Minds, Passionate Teams, Proven Results,” and “Clients, Colleagues, and Community.” Mack McGee, SC&H Group’s vice president and chief marketing officer, credited these mottos for making the firm a great place to work.

“It’s a collaboration with the client; it’s that team component,” he said. “I think the fact that we keep those [concepts] all in the same breath … is really unique in that we want to treat our clients just as well as our colleagues and vice versa; it doesn’t work if we don’t treat them great. We try to fulfill those in every capacity and I think that’s what really helps drive us forward.”

Accounting Today partnered with Best Companies Group to identify companies across the country that have excelled in creating quality workplaces for employees. The 2018 surveys revealed firms that earned a place on this year’s list understand employee engagement as a major goal of their personnel policies and strategies.

“It’s the idea of treating clients and community as colleagues since the firm’s inception in 1991 that acts as SC&H’s bedrock, and that belief hasn’t lost its momentum in its 28 years of business, which may help explain why it’s the No. 1 Large Firm to Work For (an honor it has now won twice, having nabbed the top spot in 2014, as well),” Accounting Today said of the Maryland firm in its November issue.

Causey explained that the firm’s recruiting strategy is to find top candidates with a like-minded attitude. “I think we’re good at it, but we also work awfully hard at it,” he told Accounting Today. “We are going after the same talent that the Big Four go after and we are winning just as much as they are … but if you land that talent, you need to nurture it and take care of them.”

SC&H Group’s formula is working. Earlier this year, Accounting Today ranked SC&H Group as the No. 1 Maryland-based firm and the No. 2 firm in the entire Capital region. In May, SC&H Group was recognized by Inc. Magazine as a 2018 Best Workplace. In August, SC&H Group ranked No. 8 on INSIDE Public Accounting’s 2018 list of 100 Fastest-Growing Firms.
